1 – MESSAGE FROM THE BOARD
ARSAN Comércio e Serviços is committed to complying with its ethical and moral principles as the only means to achieve its vision based on our mission and values. We do not tolerate any type of inappropriate conduct and are open to discussions on the matter by interested parties.
2 – DEFINITION OF THE CODE OF CONDUCT
This Code of Conduct is a set of rules and standards of conduct that define the ethical principles that guide the conduct of business at ARSAN Comércio e Serviços Ltda and is an integral part of our Integrity System.
Honesty, integrity, loyalty, respect, dignity, transparency and justice are the principles that underlie our decisions.
3 – OBJECTIVE
This Code of Conduct aims to guide the actions of our employees and formalizes ARSAN Comércio e Serviços’ ethical stance towards the various stakeholders it interacts with, whether internal or external.
4 – SCOPE
This Code of Conduct applies to all people involved in the business chain of ARSAN Comércio e Serviços Ltda: directors, managers, leaders and all employees, regardless of the position or function they occupy.
5 – RESPONSIBILITIES
5.1 – All people involved with our business, at all hierarchical levels, are obliged to know and practice the provisions of this Code of Conduct.
5.2 – It is up to Leaders to disclose the content of this Code of Conduct to their Team Members, making them aware of the need to follow its rules and, mainly through example, creating a favorable environment, where everyone can fully comply with this Code.
5.3 – It is up to Managers, Managers and people who represent the company to disseminate this Code among ARSAN Comércio e Serviços’ stakeholders: customers, suppliers and the community.
6 – CONDUCT OF ARSAN COMÉRCIO E SERVICES LTDA EMPLOYEES
6.1 – In relationships with various stakeholders, whether public or private, ARSAN Comércio e Serviços employees base their conduct on integrity, loyalty, honesty and transparency;
6.2 – ARSAN Comércio e Serviços employees must ensure an organized, hygienic and clean working environment, where aspects of safety, occupational health and environmental preservation are priorities;
6.3 – They perform their duties with dedication and enthusiasm, always seeking the best result in each project, allowing a return on invested capital and the continuous growth of the organization;
6.4 – Ensure confidentiality and non-disclosure of unauthorized information from the company, its customers or suppliers, except when approved by a higher court or required by supervisory, regulatory and legal bodies;
6.5 – They acknowledge that all information related to the company’s business is the property of ARSAN Comércio e Serviços and only it has the right to use and disclose it;
6.6 – Use computer and electronic mail resources for professional use. The use of these resources to send messages or access information of a discriminatory or illegal nature is prohibited;
6.7 – They do not carry out any external professional activity that conflicts with the company’s business, they do not provide advice or consultancy to third parties, except when expressly authorized by Senior Management;
6.8 – They do not use family or friendship relationships to make decisions regarding their professional career or granting benefits;
6.9 – Do not carry out commercial transactions with companies whose owners or partners have a family relationship. This practice constitutes a conflict of interest and is prohibited.
6.10 – They do not accept claims, provoke or suggest any type of financial aid, payment of “urgency fee”, bonus, prize, commission, donation, gift or personal advantage of any kind to representatives of private companies (such as customers, suppliers and business partners) or representatives of public authorities, or related people in exchange for facilities for carrying out their professional or business activities.
6.11 – They do not carry out actions that have fraudulent, coercive or misleading influence, with the purpose of generating their own benefit or for the company.
7 – ARSAN COMÉRCIO E SERVICES GUIDELINES
7.1 – ARSAN Comércio e Serviços seeks to exceed customer expectations, with social responsibility, valuing its employees and prioritizing safety, health and environmental issues;
7.2 – ARSAN Comércio e Serviços encourages the professional development of its employees and believes in work as the means for them to realize their dreams;
7.3 – All information conveyed must be true and represent the relationship of transparency and trust that ARSAN Comércio e Serviços has with its employees and the public of interest;
7.4 – ARSAN Comércio e Serviços’ management model provides a work environment favorable to the motivation, satisfaction and commitment of its employees;
7.5 – Interpersonal relationships at work are free from prejudice based on sex, race, color, origin, class, age, marital status, political or religious conviction and any other forms of discrimination;
7.6 – ARSAN Comércio e Serviços encourages coexistence of respect, dignity and justice, free from threats, violence or intimidation. Abusive, brutal, threatening behavior, rude treatment and any type of moral or sexual harassment are condemned;
7.7 – ARSAN Comércio e Serviços considers the dignity of the human person as a fundamental and universal principle of man and seeks to consolidate its ethical conduct based on this recognition;
7.8 – ARSAN Comércio e Serviços does not encourage the practice of nepotism. The company condemns favoring relatives, to the detriment of more qualified professionals.
7.9 – ARSAN Comércio e Serviços does not allow the carrying of weapons, consumption of alcoholic beverages and drugs on company premises, on construction sites, in accommodation and in public houses;
7.10 – ARSAN Comércio e Serviços does not allow inappropriate behavior, within the community and the neighborhood of accommodation or residences, that could affect the company’s image.
8 – RESPECT TO LEGISLATION
8.1 – ARSAN Comércio e Serviços respects and follows tax, social security, labor and civil legislation unquestionably. The company seeks to be up to date with current legislation in all its aspects and instances.
8.2 – ARSAN Comércio e Serviços’ financial transactions are recorded correctly and immediately, respecting the principles of legislation;
8.3 – Purchases, contracts, payments and commitments made by ARSAN Comércio e Serviços are proven and supported by legal documentation;
8.4 – ARSAN Comércio e Serviços does not tolerate and condemns the practice of corruption in all its forms, active or passive and the obtaining of undue advantage, always encourages fair competition and does not tolerate administrative improbity;
8.5 – ARSAN Comércio e Serviços does not use child labor and strongly condemns this practice.
8.6 – ARSAN Comércio e Serviços does not practice any type of forced or compulsory labor under any conditions.
9 – SAFETY, HEALTH AND ENVIRONMENT
9.1 – At ARSAN Comércio e Serviços, the physical integrity of employees and care for the environment are priorities. No emergency situation, production or economic result may be adopted as a justification for exposing the employee or the community;
9.2 – ARSAN Comércio e Serviços treats all information relating to safety, the environment and occupational health in a transparent manner.
10 – RELATIONSHIP WITH THE COMMUNITY
10.1 – ARSAN Comércio e Serviços seeks to maintain a harmonious relationship with the Communities in the places where it carries out its activities, respecting people, their traditions, their values and the environment;
10.2 – ARSAN Comércio e Serviços encourages and supports the participation of its employees in community projects and programs in the places where it is present;
10.3 – In fulfilling its economic mission, ARSAN Comércio e Serviços contributes to the development of the regions where it operates, valuing human beings and the community. The company develops people, as professionals and as citizens, thus exercising their role as citizenship.
11 – RELATIONSHIP WITH UNIONS
ARSAN Comércio e Serviços seeks to maintain a relationship of respect and harmony with trade unions, without practicing any type of discrimination against professionals, whether unionized or not.
12 – VIOLATION OF THE CODE AND DISCIPLINARY MEASURES
The Ethical Principles established in this instrument must be practiced by everyone. Violations of the ARSAN Comércio e Serviços Code of Conduct will be subject to disciplinary measures.
ARSAN Comércio e Serviços considers the following conduct to be in violation of the Code, subject to disciplinary measures:
Failure to comply with the rules established in this document and fail to comply with legislation;
Manipulate information to conceal violations of applicable laws, ethics and the rules established in this Code of Conduct;
Use ARSAN Comércio e Serviços’ communication channels in bad faith, reporting non-existent occurrences with the aim of harming third parties;
Persecute and retaliate against those who have reported, in good faith, behavior that is not in line with this Code of Conduct.
Failure to comply with the Code, falsifying records or any other behavior that represents a lack of ethics may lead to disciplinary action, including dismissal of the employee and legal action.
The deviation treatments themselves will indicate the actions to be taken. Within legal limits, the company will keep the identity of people who submit reports or complaints confidential.
13 – ARSAN COMMERCE AND SERVICES INTEGRITY COMMITTEE
Any and all signs of acts or behaviors that are incompatible with the Code of Conduct must be reported directly to senior management, by pointing out non-conformities and discussed at a general company meeting.
Each and every employee is responsible for managing this Code of Conduct, pointing out problems experienced. Corrective and disciplinary measures that become necessary will be discussed at the company’s monthly general meeting.
